Vistar Corporation to Acquire Vend Products

DENVER, June 17, 2003 -- Vistar Corporation, one of America's leading distributors of food products and related supplies for the vending-related and foodservice channels, today announced it has signed an asset purchase agreement to acquire the Vend Products operations of Estey Corporation. The purchase is expected to close by the end of June. Located in Portland, Oregon and Livermore, California, Vend Products, with fiscal year 2002 sales of approximately $62 million and 55 employees, distributes candy, snack items and office supply products to the vend industry.

George Holm, president and chief executive officer of Vistar, said, "Our strategy in this sales channel is to opportunistically strengthen our presence in select markets. The addition of Vend Products, well-known and highly regarded for its quality products and services, will significantly enhance our role in the Pacific Northwest and Northern California. Together Vistar and Vend Products will provide the broadest array of product offerings to customers in these markets. The combined distribution company will offer our committed suppliers in vend-related businesses, office coffee supply, theatre, and fundraising great growth opportunities."
