Vopak signs split-off deed: Univar listed as of July 1, 2002

Following the Extraordinary General Meeting's decision of June 17, 2002 to split-off Koninklijke Vopak N.V. ("Vopak") is pleased to announce that the noterial deed of split-off has been executed today. The split-off of the chemical distribution activities to the newly incorporated company Univar N.V. ("Univar") will become effective on June 29, 2002. Trading in Univar common shares on the Official Segment of the stock market of Euronext Amsterdam N.V. is expected to commence on Monday July 1, 2002. After completion of the split-off ultimately one Univar common share will be received for every two Vopak common shares held today at 17.40 hrs (the record date). This will result in the listing of a total of 29,963,986 common Univar shares. Vopak will have 59,927,972 ordinary shares outstanding.
Start trading Univar and Vopak ex
Barring unforeseen circumstances it is expected that trading in the common shares Univar and Vopak ex will start Monday July 1, 2002 at 09.00 hrs. As of 07.30 that day a bandwidth of plus and minus 10% (the "Bandwidth") of the theoretical opening share price (the "Reference Price") of both companies will be available via the screens of Euronext Amsterdam.
In the Euronext Amsterdam trading systems a transaction (resulting in a share price) will only take place if a buy and sell order match within the Bandwidth. If it is not possible to realise a transaction within the first 10 minutes within this Bandwidth, the Reference Price will be automatically adjusted with plus or minus 10%. If it is still not possible to realise a transaction within the adjusted Bandwidth, the adjustment will be repeated after 4 minutes (to a maximum of two times). In case these automatic adjustments do not result in a trade within the Bandwidth, buy and sell orders will be matched manually. The aim of this trading system is create and ensure orderly trading. To enable this system to start a reference price needs to be inserted, resulting in the maximum and minimum price (the Bandwidth).
